3. Services Overview

JuvoAI is a B2B AI automation agency that designs and builds custom automation systems for businesses. Our services include workflow automation, CRM integration, AI-powered tools, and related consulting. We offer a free discovery call to understand your needs, followed by a detailed, fixed-price proposal outlining scope, timeline, and deliverables.

4. Engagement Process

Our standard engagement follows this process:

  1. Discovery: A free consultation to discuss your workflows, bottlenecks, and goals.
  2. Proposal: A detailed proposal with clear scope, timeline, and fixed pricing.
  3. Acceptance: Written acceptance of the proposal and payment of the initial deposit.
  4. Build: Collaborative development with regular progress updates.
  5. Launch: Deployment with documentation, training, and post-launch support.

Any changes to the agreed scope of work require written agreement from both parties and may affect the project timeline and fees.

5. Fees & Payment

  • All fees are as specified in the project proposal or statement of work.
  • Payment structure: 50% of the project fee is due upfront upon acceptance of the proposal. The remaining 50% is due upon completion of the project.
  • Late payments may incur interest at a rate of 1.5% per month on the outstanding balance.
  • Currency for payment will be specified in the proposal.
  • The Company reserves the right to pause work if payment is overdue.

6. Intellectual Property

  • Client ownership: Upon full payment, the Client owns all custom Deliverables created specifically for their project.
  • Company retention: JuvoAI retains ownership of general methodologies, frameworks, know-how, and reusable components developed before or during the engagement that are not specific to the Client's project.
  • Third-party tools: Deliverables may incorporate third-party tools, platforms, or APIs (e.g., n8n, Make.com, OpenAI) that are subject to their own licence terms. The Client is responsible for maintaining valid licences or subscriptions for such third-party services.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of any agreement between the parties. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

8. Warranties & Disclaimers

  • We will perform our Services with reasonable skill and care, in accordance with generally accepted industry standards.
  • We do not guarantee specific business outcomes, revenue increases, or performance metrics resulting from our Services. Results depend on many factors beyond our control.
  • This Website is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Website's accuracy, reliability, or availability.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total liability for any claim arising out of or in connection with a project shall not exceed the total fees paid by the Client for that specific project.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

10. Indemnification

Each party agrees to indemnify and hold harmless the other party from any claims, damages, losses, and expenses (including reasonable legal fees) arising from the indemnifying party's breach of these Terms or negligent acts or omissions.

11. Term & Termination

  • Engagements are project-based and continue until the agreed Deliverables are completed unless terminated earlier.
  • Either party may terminate an engagement by providing written notice to the other party.
  • Upon termination, the Client shall pay for all work completed up to the date of termination.
  • Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification shall survive termination.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. General Provisions

  • Entire agreement: These Terms, together with any applicable proposals or statements of work, constitute the entire agreement between the parties.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • No waiver: The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce that provision in the future.
  • Assignment: Neither party may assign its rights or obligations under these Terms without the prior written consent of the other party, except in connection with a merger, acquisition, or sale of all or substantially all of its assets.

15. Changes to These Terms
